Hogan Lovells has been active in Africa for the past 30 years. We regularly advise clients on a wide range of transactions including trade and export financing, debt restructuring, prefinancing, project development and finance, mergers and acquisitions, the establishment of investment funds, and capital markets.

Our advice is clear, succinct, and practical, based on our in-depth knowledge of the legal, regulatory, and commercial environments within Africa and a full understanding of our clients' business objectives.

We are committed to expanding our client base in the region. In particular we are able to assist African corporates looking to invest outside the continent or obtain a listing on one of the major international markets. We also assist clients based outside Africa with their investment activities within the continent.

We have represented clients in both Anglophone and Francophone countries of Africa. Transactions in French-speaking and civil law countries are handled from our Paris office where we have substantial practical knowledge of the unified legal system that applies in 17 sub-Saharan jurisdictions, the Organisation pour l'Harmonisation en Afrique du Droit des Affaires (OHADA).

We believe that an important aspect of being able to provide a comprehensive legal service is to have established contacts in those jurisdictions where we do not have a local office. Hogan Lovells has developed a strong network of correspondent law firms in all the African jurisdictions, with whom we enjoy excellent relationships. We work regularly with the local lawyers and know them well, and are therefore confident in recommending them to our clients.  This close collaboration guarantees a delivery of quick, efficient and quality of work.

Representative experience

Airports and aviation

  • Advising a pool of development banks (including AfDB, AFD, IDB) on the financing of the development and construction of a new international airport in Diass, Senegal
  • Advising Africa Export-Import Bank on the cUS$2 billion pre-delivery and delivery financing for Kenya Airways Limited

Corporate and investment funds

  • Advising QInvest on its proposed acquisition by way of joint venture of a 60% stake in the investment banking, asset management and brokerage business of EFG Hermes
  • Advising SABMiller on the acquisition of a 40% interest in Société des Nouvelles Brasseries (Algeria) and Marocaine d'Investissements et de Services (Morocco)
  • Advising EFG Hermes on the launch of the EFGHermes Middle East & Developing African Fund Limited

Dispute resolution

  • Advising the Government of Liberia in opposing the enforcement of an arbitration award against the National Port Authority of Liberia
  • Advising the Central Bank of Zambia on various proceedings brought by traders in distressed debt
  • Advising two banks on three parallel arbitrations (one under the rules of the LCIA and two under the rules of the ICC) arising out of the misappropriation

Government Advisory and Sovereign Lending

  • Advising the World Bank (FIAS) on the reform of the OHADA uniform act relating to security interests
  • Advising the Governments of Sierra Leone, Ethiopia and Mozambique on debt buy-back programmes supported by funds from the World Bank/ International Development Agency

Mining

  • Advising commercial banks (covered by a Hermès insurance policy and UFK guarantee), development banks and an Islamic bank on the financing of SNIM mining and port investment projects (Mauritania)

Oil, Gas and Energy

  • Advising Actis on its investment in Gulf of Guinea Energy Limited and on the US$120 million merger of Gulf of Guinea Energy Limited with Exoro Energy International Limited
  • Advising African Export-Import Bank as mandated lead arranger on a US$100 million syndicated oil service contract pre-financing facility for Lonestar Drilling Nigeria Limited
  • Advising National Petroleum Corporation of Namibia on a number of upstream development projects
  • Advising the COFACE-guaranteed lender on an oil equipment financing for Angola

Ports

  • Advising Dubai Islamic Bank, Standard Chartered Bank and West LB on the financing for a US$400 million container port terminal in Djibouti, Africa - Project Finance Magazine African Transport Deal of the Year

Power

  • Advising IFC on the provision of US$51 million financing to Umeme Limited to part finance Umeme's capital expenditure programme to rehabilitate and expand the electricity power distribution network of Uganda

Roads and rail

  • Advising leading global investors including DEG, FMO, FISEA, and IFC on a $70m equity investment into Africa Railways Limited
  • Advising a consortium on the Dakar-Diamniadio toll motorway concession in Senegal Water, waste and sanitation
  • Advising the Government of Gabon on the privatisation of SEEG, its national power and water utility company

Telecommunications and mobile payment systems

  • Advising the financiers, including the African Development Bank, on the financing for the US$190 million RascomStar QAF pan-African satellite project
  • Helping a multinational bank to set up of a new mobile payments scheme in the Middle East, which will enable customers both to make local payments and send money to various African jurisdictions
  • Advising a global financial services provider on launch of a new money remittance service for business customers in numerous African countries
  • Working with a leading UK bank on plans to extend a domestic mobile payments scheme to customers worldwide including in Africa
